THIS AGREEMENT (the “Agreement”) is made effective as of this 30th day of January 2003, by and between Memry Corporation, having its principal place of business at 3 Berkshire Boulevard, Bethel, CT 06801 (“Memry”), and United States Surgical, Division of Tyco Healthcare Group LP, having its principal place of business at 195 McDermott Road, North Haven, CT 06473, on its own behalf and on behalf of its subsidiaries and affiliates (“Customer”).
