AMENDED AND RESTATED RIGHTS AGREEMENT (as amended, this “Agreement”), dated as of January 13, 2004, between The Bank of New York Company, Inc., a New York corporation (the “Company”), and The Bank of New York, a New York banking corporation, as Rights Agent (the “Rights Agent”, which term shall include any successor Rights Agent hereunder).
