THIS AMENDED AND RESTATED RIGHTS AGREEMENT, dated as of February 5, 2004, made between Motorola, Inc., a Delaware corporation (the “Company”), and Mellon Investor Services LLC, a New Jersey limited liability company (the “Rights Agent”), amends and restates that certain Rights Agreement, dated as of November 5, 1998, between the Company and Harris Trust and Savings Bank, an Illinois banking corporation (as amended, the “Original Rights Agreement”).
