This EXECUTIVE EMPLOYMENT AGREEMENT (the “Agreement”) is entered into as of the 3rd day of December, 2003 (the “Effective Date”), by and between EXAR CORPORATION, a Delaware corporation (the “Company”), and DONALD L. CIFFONE, JR. (“Executive”). This Agreement is an amendment and restatement of the Executive Employment Agreement dated December 6, 2000 between Executive and the Company, as amended and restated on June 21, 2001, March 28, 2003, and June 12, 2003.
