THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into as of March 3, 2004, by and between IVAX Corporation, a Florida corporation (the “Company”) and UBS Securities LLC and the other Initial Purchasers named in the Purchase Agreement referred to below, for whom UBS Securities LLC is acting as representative, (collectively, “Initial Purchasers”) pursuant to that certain Purchase Agreement, dated as of February 27, 2004 (the “Purchase Agreement”) between the Company and the Initial Purchasers.
