THIS LOAN AGREEMENT (“Agreement”) is made as of February 20, 2004, by and among REGENERATION TECHNOLOGIES, INC., a Delaware corporation (“RTI”), and ALABAMA TISSUE CENTER, INC., an Alabama corporation (“ATC”), RTI Services, Inc., a Delaware corporation (“RTI Services”) and Biological Recovery Group, Inc., a Delaware corporation (“BRG”) (RTI, ATC, RTI Services and BRG are collectively referred to herein as the “Borrower”), and MERRILL LYNCH CAPITAL FINANCIAL SERVICES, INC., a Delaware corporation, through its division Merrill Lynch Capital (collectively, with its successors and assigns, “Lender”).

This EMPLOYMENT AGREEMENT (“Agreement”) is made and entered into on May 1, 2002, by and between REGENERATION TECHNOLOGIES, INC. (“Regeneration Technologies”), a Delaware corporation having its principal address at 2 Innovation Drive, Alachua, Florida 32615 and Thomas F. Rose (“Executive”). Regeneration Technologies and the Executive are collectively referred to as the “Parties” throughout this Agreement. For purposes of this Agreement, Regeneration Technologies includes any and all of its subsidiaries, affiliates, and any other company or entity owned and/or operated in whole or in part by any officer or director of Regeneration Technologies.
