This Amended and Restated Credit Agreement, dated as of November 26, 2003, (this “Agreement”) is made by and among THE FINANCIAL INSTITUTIONS FROM TIME TO TIME PARTIES HERETO (such financial institutions, together with their respective successors and assigns, are referred to hereinafter each individually as a “Lender” and collectively as the “Lenders”), FLEET RETAIL GROUP, INC., as Agent for the Lenders (in its capacity as agent, the “Agent”), CITICORP NORTH AMERICA, INC., as Syndication Agent, WACHOVIA BANK, NATIONAL ASSOCIATION, BANK ONE, NA, and GENERAL ELECTRIC CAPITAL CORPORATION, as Co-Documentation Agents, and SAKS INCORPORATED, a Tennessee corporation, as Borrower (the “Borrower”).
