This FIRST RESTATED GUARANTY (this “Guaranty”), dated as of December 30, 2003, is made by the undersigned (the “Guarantor” and, together with any other entities from time to time parties hereto pursuant to Section 22 hereof, collectively, the “Guarantors”), in favor of the Guaranteed Parties (as hereinafter defined).

THIS FIRST RESTATED SECURITY AGREEMENT (this “Agreement”) is made and entered into effective as of December 30, 2003 by and between Mission Broadcasting, Inc., a Delaware corporation (“Borrower” and, together with such other entities from time to time parties hereto pursuant to Section 10.14 hereof, each a “Grantor” and collectively, the “Grantors”) in favor of Bank of America, N.A., as Collateral Agent (in such capacity, the “Collateral Agent”).

THIS FIRST RESTATED PLEDGE AND SECURITY AGREEMENT (this “Agreement”) is made and entered into effective as of December 30, 2003, by and among Mission Broadcasting, Inc. (formerly known as Mission Broadcasting of Wichita Falls, Inc.), a Delaware corporation (“Borrower” and, together with such other entities from time to time parties hereto pursuant to Section 32 hereof, collectively, the “Pledgors”) in favor of Bank of America, N.A., as Collateral Agent (in such capacity, the “Pledgee”).
