Concurrently herewith, Alexandra Global Master Fund, Ltd., a British Virgin Islands company ("Alexandra"), and Dwango North America Corp., a Nevada corporation (the "Company"), are entering into a Note Purchase Agreement, dated the date hereof (the "Agreement").
