This Registration Rights Agreement (this “Agreement”) is made and entered into as of December 19, 2003 by and among SBA Communications Corporation, a Florida corporation (the “Company”), SBA Telecommunications, Inc., a Florida corporation (together with the Company, the “Issuers”) and Lehman Brothers Inc., Citigroup Global Markets Inc., Deutsche Bank Securities Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and TD Securities (USA) Inc.
