AMENDED AND RESTATED CREDIT AGREEMENT dated as of April 1, 2004 (this “Agreement”), among TRANSDIGM, INC., a Delaware corporation (as successor by merger to TD Funding Corporation, the “Borrower”), TRANSDIGM HOLDING COMPANY, a Delaware corporation and the direct parent corporation of the Borrower (as successor by merger to TD Acquisition Corporation, “Holdings”), the Lenders (as defined in Article I), and CREDIT SUISSE FIRST BOSTON, a bank organized under the laws of Switzerland (“CSFB”), as administrative agent (in such capacity, the “Administrative Agent”) and as collateral agent (in such capacity, the “Collateral Agent”) for the Lenders.
