You are presently employed by Lionbridge Technologies, Inc., a Delaware corporation (the “Company”) and have recently been elected an Executive Officer (as defined under the Securities Exchange Act of 1934) of the Company. In consideration of your election as an Executive Officer by the Company and your entitlement to certain benefits in connection with such status, you hereby covenant and agree with the Company to amend and restate your Non-Competition Agreement with the Company and dated April 2, 2001 as follows:

THIS FOURTH AMENDMENT TO LEASE (“Amendment”) is executed as of the 9th day of March, 2004, between BAY COLONY CORPORATE CENTER LLC, a Delaware limited liability company (“Landlord”), and LIONBRIDGE TECHNOLOGIES, INC., a Delaware corporation (“Tenant”).

This Sublease Agreement (“Sublease”) is made as of this 31st day of January, 2004, by and between IDS Scheer Process Implementation Consulting, Inc. (previously known as Plaut Consulting, Inc.), a Delaware corporation having a principal place of business at 1055 Westlakes Drive, Suite 100, Berwyn, PA 19312 (“Sublessor”), and Lionbridge Technologies, Inc. a Delaware corporation having a principal place of business at 950 Winter Street, Waltham, Massachusetts, USA (“Sublessee”).
