This Registration Rights Agreement (this “Agreement”) is made and entered into as of March 31, 2004, by and between EPL Intermediate, Inc., a Delaware corporation (the “Company”), and Jefferies & Company, Inc. (as “Initial Purchaser”), which has agreed to purchase the Company’s 12½% Senior Discount Notes due 2010 (the “Series A Notes”) pursuant to the Purchase Agreement (as defined below).
