THIS MANAGEMENT AGREEMENT (“Management Agreement”) is made and entered into by and between Focal Communications Corporation, a Delaware corporation (the “Company”), Focal Financial Services, Inc., a Delaware corporation, and all of its wholly-owned subsidiaries, on the one side, and Corvis Acquisition Company, Inc.
