This AMENDED AND RESTATED REGISTRATION RIGHTS AGREEMENT, dated as of June 30, 2004 (this “Agreement”), is made by ANALYTICAL SURVEYS, INC., a Colorado corporation (“Company”), for the benefit of TONGA PARTNERS, L.P. (together with its successors, representative, and permitted assigns, “Purchasers”).

This AMENDED AND RESTATED SECURITY AGREEMENT, dated as of June 30, 2004 (this “Agreement”), is made by ANALYTICAL SURVEYS, INC., a Colorado corporation, having its principal place of business at 11900 Crownpoint Drive, Suite 100, San Antonio, Texas 78233 (“Grantor”), for the benefit of TONGA PARTNERS, L.P. (together with its successors, representatives, and permitted assigns, “Secured Party”). The Grantor and the Secured Party entered into a Security Agreement (as amended to the date hereof, the “Original Security Agreement”) dated as of April 2, 2002.
