This AGREEMENT is made and entered into as of the 12th day of February, 2001, by and among MET INVESTORS SERIES TRUST, a business trust organized under the laws of the State of Delaware (the “Fund”), METLIFE INVESTORS USA INSURANCE COMPANY (the “Company”) on its own behalf and on behalf of each of its separate accounts set forth on Schedule A hereto, as amended from time to time (each an “Account”), MET INVESTORS ADVISORY CORP. (the “Adviser”) and METLIFE INVESTORS DISTRIBUTION COMPANY (the “Underwriter”).

All notices, requests, demands and other communications under this Agreement shall be in writing and shall be deemed to have been given on the date of service if served personally on the party to whom notice is to be given, or on the date of mailing if sent by First Class Mail, Registered or Certified, postage prepaid and properly addressed.
