This Change of Control Severance Agreement (the “Agreement”) is made and entered into by and between J. Scott Kamsler (the “Employee”) and Centillium Communications, Inc., a Delaware corporation (the “Company”), effective as of July 23, 2004 (the “Effective Date”).
