THIS STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of August 6, 2004, is made by and among Mississippi Chemical Corporation, a Mississippi corporation (the “Company”), MissChem Acquisition Inc., a Delaware corporation (“Buyer”) and wholly-owned subsidiary of Parent, and Terra Industries Inc., a Maryland corporation (“Parent”).
