This Consulting Services Agreement is made July 1, 2002, between INSERT THERAPEUTICS, INC., a Delaware corporation, located at 2585 Nina Street, Pasadena, CA 91107 (“Company”), and NEOLOGIX, a California corporation located at the address set forth in Attachment 1 hereto (“Consultant”). The “Standard Terms and Conditions” attached hereto are incorporated herein by this reference as if fully set forth.

This Consulting Agreement (“Agreement”) is made and entered into as of the 30th day of June by and between Aonexx Corporation, a California corporation (the “Company”), and Dr. Harry A. Atwater, Jr. (“Consultant”). The Company desires to retain Consultant as an independent contractor to perform certain services for the Company and Consultant is willing to perform such services, on terms set forth more fully below. Capitalized terms not otherwise defined in this Amendment have the meanings ascribed to such terms in the Agreement. In consideration of the mutual covenants and agreements contained herein, the parties hereby agree amend and modify the Agreement as set forth below:
