THIS DEVELOPMENT AND MANUFACTURING AGREEMENT (the “Agreement”) is executed as of this 9th day of October, 2001, by and between PRINCETON BIOMEDITECH CORPORATION, a New Jersey corporation (“PBM”), having its principal place of business at 4242 U.S. Route 1, Monmouth Junction, New Jersey 08852, and SYN.X PHARMA, INC., an Ontario corporation (“SYN.X”), having its principal place of business at 6354 Viscount Road, Mississauga, Ontario L4VIH3 Canada.
