This FIRST AMENDMENT TO RIGHTS AGREEMENT, is dated as of September 9, 2004 (this “Amendment”), by and among NetSolve, Incorporated, a Delaware corporation (the “Company”), and American Stock Transfer & Trust Co., as rights agent (the “Rights Agent”).
