This letter sets forth the agreement between Georgetown Savings Bank, Georgetown, Massachusetts (the “Bank”), and RP® Financial, LC. (“RP Financial”) for the independent appraisal services in connection with the “Minority Stock Issuance” by a newly-chartered mid-tier stock holding company formed in conjunction with the mutual holding company reorganization (“Reorganization”) and Minority Stock Issuance. The specific appraisal services to be rendered by RP Financial are described below.

THIS AGREEMENT, made as of the 22nd day of January, 2002 by and between Georgetown Savings Bank, a Massachusetts corporation (hereinafter referred to as the “Employer”), and Peter T. Minich of Groveland, MA (hereinafter referred to as the “Employee”).

This Agreement is made effective as of , 2004 (the “Effective Date”), by and between Georgetown Savings Bank, a federally chartered savings Bank with its principal office in Georgetown, Massachusetts (the “Bank”), and (“Executive”). References to the “Company” mean Georgetown Bancorp, Inc., a federal corporation that own 100% of the common stock of the Bank. The Company shall be a signatory to this Agreement for the sole purpose of guaranteeing the Bank’s performance hereunder. The Board of Directors of the Bank shall be the authority for the enforcement of this Agreement.
