This Amended and Restated Change of Control Option Acceleration Agreement (the “Agreement”) is made and entered into effective as of September 20, 2004 (the “Effective Date”), by and between Gary Meyers (the “Employee”) and Synplicity, Inc., a California corporation (the “Company”).
