AGREEMENT by and between Amcore Financial, Inc., a Nevada corporation (the “Company”), and Bruce W. Lammers (the “Executive”), dated as of the 7th day of August, 2004. This Agreement amends, restates and supersedes any and all prior agreements between the Company and the Executive relating to the subject matter of this Agreement, including (but not by way of limitation) the Transitional Compensation Agreements dated December 18, 2001, November 28, 2001 and May 1, 1999.
