THIS POWER PURCHASE AGREEMENT (this “Agreement”), dated as of 30th day of September, 2004, between ILLINOIS POWER COMPANY, an Illinois corporation (“IP”), and DYNEGY POWER MARKETING, INC., a Texas corporation (“DYPM”) (IP and DYPM are sometimes referred to herein individually as a “Party” and collectively as “Parties”).

ESCROW AGREEMENT (“Agreement”), dated as of 30th day of September, 2004, by and among Illinova Corporation, an Illinois corporation ( “Illinova”), Ameren Corporation, a Missouri corporation (“Ameren”), and JPMorgan Chase Bank, a New York State Bank with an office in Houston, Harris County, Texas, as escrow agent (the “Escrow Agent”).
