This LICENSE AGREEMENT (“Agreement”) is executed as of the latest date of signature appearing below (the “Execution Date”) and is made effective as of the Effective Date (as defined below) by and between Schering Corporation, a New Jersey corporation having its principal place of business at 2000 Galloping Hill Road, Kenilworth, New Jersey 07033 (hereinafter “Schering Corp”) and its Affiliate Schering-Plough Ltd., a corporation organized and existing under the laws of Switzerland and having its principal place of business at Weystrasse 20, P.O. Box, CH-6000 Luzerne 6, Switzerland (hereinafter referred to individually as “SPL”, and collectively with Schering Corp as “Schering”), and ViroPharma Incorporated, a Delaware corporation having offices at 397 Eagleview Boulevard, Exton, Pennsylvania 19341 (hereinafter “ViroPharma”). References to Schering shall include its Affiliates (as hereinafter defined). Each of Schering and ViroPharma are also referred to herein individually as a “Party”
