WHEREAS, in consideration for Learning Tree International’s employment and continued employment of Bill Byron Concevitch (hereinafter referred to as “Employee”), Learning Tree International (hereinafter referred to as “Company”) and Employee desire to enter into this Agreement to set forth the terms and conditions of such employment effective August 1, 2004.

This Indemnification Agreement (the “Agreement”) is made as of the date indicated below between Learning Tree International, Inc., a Delaware corporation (the “Company”), and the undersigned individual (“you”).
