This amended Rights Agreement, is effective as of January 18, 2005 (the “Agreement”), between Rentech, Inc., a Colorado corporation (the “Company”), and ComputerShare Trust Company, Inc. and supersedes and replaces in its entirety the Rights Agreement dated November 10, 1998 between the Company and American Securities Transfer and Trust, Inc., (now known as ComputerShare Trust Company, Inc.) as Rights Agent hereunder (the “Rights Agent”).
