GSI Commerce, Inc. (the “Company”) and you have mutually agreed to terminate your employment with the Company. This letter agreement and the release attached hereto as Exhibit “A” (collectively, the “Agreement”) set forth the agreement between the Company and you, relating to the termination of your employment with the Company and any of its parents, subsidiaries or affiliates.
