Municipal Mortgage & Equity, LLC, a Delaware limited liability company (the “Company”), confirms its agreements with Merrill Lynch & Co. Merrill Lynch, Pierce, Fenner & Smith, Incorporated, RBC Capital Markets Corporation and Banc of America Securities LLC (each an “Underwriter,” and together, the “Underwriters”), with respect to (i) the sale by the Company, and the purchase by the Underwriters of the respective numbers of Common Shares, no par value per share, of the Company (“Common Shares”) set forth in Schedule A hereto and (ii) the grant by the Company to the Underwriters of the option described in Section 2(b) hereof to purchase all or any part of 386,250 additional Common Shares to cover over-allotments, if any.
