This Agreement (“Agreement”) is by and between Buy.com Inc. (“Buy.com”), with its principal place of business at 21 Brookline, Aliso Viejo, California 92656, and Ingram Micro Inc. (“Ingram”) excluding its subsidiaries, with its principal place of business at 1600 East St. Andrew Place, Santa Ana, California 92705. This Agreement will include shipments to Buy.com’s locations in the United States only.

This Service Agreement (“Agreement”) is hereby made and entered into this 5th day of April, 2004 between and among BUY.COM with offices located at 85 Enterprise, Ste. 100, Aliso Viejo, CA 92656 (“Client”) and vCustomer Corporation, a Washington corporation, with offices located at 520 Kirkland Way, Kirkland, Washington, 98033 (“Supplier”). Client and Supplier are also referred to herein as a “party” or collectively as “parties.”

(“Exodus”) and the customer identified below (“Customer”).
