Reference is made to the credit agreement (such credit agreement as the same may from time to time be restated, modified, supplemented or amended and in effect is herein referred to as the “Credit Agreement”) dated as of December 3, 2004 between the Maker and the Holder. This is the grid promissory note referred to in section 3.2 of the Credit Agreement and it bears all of the rights, benefits and obligations provided for in the Credit Agreement.
