This Agreement, dated as of April 1, 2004, is made and entered into by and between AsiaInfo Holdings, Inc., a corporation organized under the laws of the State of Delaware with its principal place of business at Zhongdian Information Tower, No. 6 Zhongguancun South Street, Beijing, People’s Republic of China (the “Company”), and Wang Chao, Vice President and General Manager for Marketing and Strategy of the Company (the “Executive”).
