AGREEMENT made as of this 31st day of January, 2004 by and between the parties: KEVIN J. SHARPE, an individual residing in the United Kingdom (hereinafter referred to as the “Executive”) and OPUS RESOURCE GROUP, INC. (D/B/A BLASTGARD INTERNATIONAL, INC.), a Colorado corporation, with principal executive offices located at 12900 Automobile Boulevard, Ste D, Clearwater, FL 33762 (hereinafter referred to as the “Company”).
