THIS STOCK APPRECIATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into this 13th day of July, 2004, by and between GREER STATE BANK, a state-chartered commercial bank located in Greer, South Carolina (the “Company”) and R. DENNIS HENNETT (the “Executive”).
