THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into as of March 28, 2005 by and among FULTON FINANCIAL CORPORATION, a Pennsylvania corporation (the “Company”), and SANDLER O’NEILL & PARTNERS, L.P. (“Sandler O’Neill”), KEEFE, BRUYETTE & WOODS, INC., RYAN BECK & CO., AND KEYBANC CAPITAL MARKETS (collectively, the “Initial Purchasers”), for whom Sandler O’Neill is acting as representative (in such capacity, the “Representative”).
