This Registration Rights Agreement (this “Agreement”), dated as of , 2005, by and among FreightCar America, Inc., a Delaware corporation (the “Company”), Hancock Mezzanine Partners, L.P., a Delaware limited partnership (“Hancock”), John Hancock Life Insurance Company, a Massachusetts life insurance corporation (“JHLIC”), Caravelle Investment Fund, L.L.C., a Delaware limited liability company (“Caravelle”), Trimaran Investments II, L.L.C., a Delaware limited liability company (“Trimaran”), Camillo M.
