THIS ADMINISTRATION AGREEMENT (this “Agreement”) dated as of April 7, 2005, is between CAPITAL ONE AUTO FINANCE TRUST 2005-A, a Delaware statutory trust (the “Issuer”), CAPITAL ONE AUTO FINANCE, INC., a Texas corporation, as administrator (“COAF” or the “Administrator”), and JPMORGAN CHASE BANK, N.A., a banking association organized under the laws of the United States, as indenture trustee (the “Indenture Trustee”).
