This CREDIT AGREEMENT (as amended, modified, restated or supplemented from time to time, the “Agreement”) is entered into as of April 8, 2005 by and among TRUSTREET PROPERTIES, INC., a Maryland corporation (together with any permitted successors and assigns, the “Borrower”), the Guarantors (as defined herein), the Lenders (as defined herein), BANK OF AMERICA, N.A., as Administrative Agent, L/C Issuer and Swing Line Lender (each, as defined herein) and BANC OF AMERICA SECURITIES LLC, as sole lead arranger and sole book manager.

THIS PLEDGE AGREEMENT, dated as of April 8, 2005 (this “Pledge Agreement”) is made by the parties listed on the signature pages hereto (each individually a “Pledgor” and collectively, the “Pledgors”) in favor of Bank of America, N.A., in its capacity as Administrative Agent (in such capacity, the “Administrative Agent”) for the benefit of the Administrative Agent, the L/C Issuer, the Swing Line Lender, the Lenders and any Affiliate of any Lender which is, as of the applicable date of determination, a party to any Guaranteed Swap Contract (in each case, as defined in the Credit Agreement described below) (collectively, the Administrative Agent, the L/C Issuer, the Swing Line Lender, the Lenders and any such Affiliate of any Lender which is a party to any Guaranteed Swap Contract shall be referred to herein as the “Secured Parties” and each, individually, may be referred to as a “Secured Party”).
