INVESTMENT ADVISORY AGREEMENT made as of March , 2005 between AETOS CAPITAL OPPORTUNITIES FUND, LLC, a Delaware limited liability company (the “Fund”), and AETOS ALTERNATIVES MANAGEMENT, LLC (the “Investment Manager”), a Delaware limited liability company registered as an investment adviser under the Investment Advisers Act of 1940, as amended.

THIS LIMITED LIABILITY COMPANY AGREEMENT of Aetos Capital Opportunities Fund, LLC (the “Fund”) is dated as of March , 2005 by and among James M. Allwin, Michael Klein, Ellen Harvey, Warren Olsen and Pierre de Saint Phalle, as the Managers, James M. Allwin, as the Organizational Member, and those persons hereinafter admitted as Members.
