FIRST AMENDMENT, dated as of April 28, 2005 (this “Amendment”), to the Guarantee and Collateral Agreement, dated as of April 27, 2004 (the “Guarantee and Collateral Agreement”), made by each of the signatories thereto (together with any other entity that may become a party thereto as provided therein, the “Grantors”), in favor of JPMorgan Chase Bank, N.A.
