THIS ASSET SALE AGREEMENT (this “Agreement”) is entered into as of May 31, 2005, by and between MOTOROLA, INC., a Delaware corporation (“Motorola”), and SIRF TECHNOLOGY HOLDINGS, INC., a Delaware corporation (“SiRF”).
