PROFITS UNIT AWARD AGREEMENT, (“Agreement”) dated as of March 17, 2005 (the “Date of Grant”), by and between KRATON Management LLC, a Delaware limited liability company (the “Company”) and Eli Ben-Shoshan (the “Participant”). Unless the context otherwise provides, capitalized terms not defined herein shall have the meanings ascribed to them in the Limited Liability Company Operating Agreement of KRATON Management LLC, as amended from time to time (the “Management LLC Agreement”).
