THIS STOCKHOLDERS AGREEMENT (this “Agreement”), dated as of , 2005 (the “Effective Date”), is by and among AMD INVESTMENTS, INC., a Delaware corporation (“AMD Investments”), FUJITSU MICROELECTRONICS HOLDING, INC., a Delaware corporation (“FMH”), SPANSION INC., a Delaware corporation (the “Corporation”), ADVANCED MICRO DEVICES, INC., a Delaware corporation (“AMD”), and FUJITSU LIMITED, a Japanese corporation (“Fujitsu”). AMD Investments and FMH are sometimes hereafter referred to, collectively, as the “Stockholders” and, individually, as a “Stockholder.”

THIS REMEDIATION AGREEMENT (“Remediation Agreement”), dated as of June 30, 2003, by and among Advanced Micro Devices, Inc., a Delaware corporation (“AMD”), Fujitsu Limited, a corporation organized under the laws of Japan (“Fujitsu” and together with AMD, the “Contributing Parties”), and FASL LLC, a Delaware limited liability company (the “FASL”). AMD, Fujitsu and FASL are each referred to herein as a “Party” and collectively as the “Parties.”
