REGISTRATION RIGHTS AGREEMENT (the “Agreement”), dated as of , 2005, by and between Seaspan Corporation, a Marshall Islands Corporation (the “Company”), Dennis Washington (“DW”), The Kevin Lee Washington Trust II (“KWT”), 0731455 B.C. Ltd.
