This Agreement is entered into as of June 14, 2005 by and between SEATTLE GENETICS, INC., a Delaware corporation, having its principal place of business at 21823 30th Drive S.E., Bothell, Washington 98021 (hereinafter referred to as “SGI”), and PSMA DEVELOPMENT COMPANY LLC, a Delaware limited liability corporation, having its principal place of business at 777 Old Saw Mill River Road, Tarrytown, New York 10591 (hereinafter referred to as “Licensee”).

THIS AGREEMENT is made and entered into as of the 4th day of May, 2005 (the “Effective Date”), by and between Seattle Genetics, Inc., a Delaware corporation (“SGI”), having its principal place of business at 21823 30th Drive S.E., Bothell, WA 98021, and Organichem Corporation, a Delaware corporation (“Supplier”), having its principal place of business at 33 Riverside Avenue, Rensselaer, NY 12144.

This License Agreement (the “Agreement”) is entered into as of this 12th day of April 2005 (the “Effective Date”) by and between Seattle Genetics, Inc., a Delaware corporation with its principal office at 21823 30th Drive SE, Bothell, WA 98021 (“SG”), and Protein Design Labs, Inc., a Delaware corporation with its principal office at 34801 Campus Drive, Fremont, CA 94555 (“PDL”). PDL and SG are sometimes referred to herein individually as a “Party” and together as the “Parties”.
