USA Truck, Inc., a corporation organized and existing under the laws of the State of Delaware (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to the Underwriters named in Schedule I hereto (collectively, the “Underwriters”) an aggregate of 2,000,000 shares of its common stock, $.01 par value per share (the “Common Stock”) and the Selling Shareholders of the Company named in Schedule II hereto (the “Selling Shareholders”) propose severally to sell an aggregate of 1,000,000 outstanding shares of Common Stock (such 3,000,000 shares of Common Stock being hereinafter referred to as the “Firm Shares”). In addition, for the sole purpose of covering over-allotments and subject to the terms and conditions stated herein, Robert M. Powell, one of the Selling Shareholders, proposes to grant to the Underwriters the option to purchase up to an additional 450,000 shares (the “Additional Shares”) of Common Stock.
