This Employment Agreement (“Agreement”) is made and entered into on this 1st day of June, 2005, effective as of the date set forth in paragraph 2.1 below, and is by and between Datrek Miller International, Inc., a Florida corporation (the “Company”), and J. (“Datrek”), MILLER GOLF COMPANY , a Florida corporation formerly known as Miller Acquisition, Inc. (“ Miller “; Datrek and Miller are referred to herein individually as a “ Borrower “ and collectively as the “ Borrowers “), and RYAN HOLDINGS, INC. , a Tennessee corporation formerly known as Datrek Professional Bags, Inc. (“Ryan”).
