PROFITS UNIT AWARD AGREEMENT, (“Agreement”) dated as of July 15, 2005 (the “Date of Grant”), by and between KRATON Management LLC, a Delaware limited liability company (the “Company”) and Kevin Fogarty (the “Participant”).
