This MASTER PURCHASE AND SALE AGREEMENT (the “Agreement”) is entered into as of October 6, 2005 by and between PerkinElmer, Inc., a Massachusetts corporation (“PKI”), and Eaton Corporation, an Ohio corporation (“Buyer”).
